| چکیده | ||

| چکیده [English] | ||
| Objectives: This study aims to critically analyze the newly enacted Iranian 2025 Executive Decree on Online Gold and Silver Transactions, comparing its regulatory architecture with the European Union’s framework-specifically the Markets in Crypto-Assets (MiCA) regulation and consumer protection directives-to identify normative gaps and offer legislative alternatives. Methods: This research employs a descriptive-analytical methodology and a functional comparative law approach. Drawing upon library resources and statutory texts, it examines the regulatory practices and risk-allocation models of both legal systems. Results: The 2025 Decree, by mandating the deposit of gold in physical vaults and registration in the "Nazer" tracking system, seeks to establish "constructive possession" and curb systemic inflation. However, the absolute disclaimer of state and banking liability (Article 5) directly contradicts the "regulatory trust theory." Furthermore, the absolute ban on peer-to-peer (P2P) transactions (Article 6) undermines property rights and freedom of contract. Conversely, the EU's MiCA regulation, through institutional custody, legal segregation of reserve assets, and the implementation of the "Travel Rule," achieves a more sustainable balance between fintech innovation, consumer protection, and financial security. Conclusion: The Iranian legal system must transition from physical, ex-ante control to smart regulation. Adopting joint and several civil liability for platforms (based on the "least cost avoider" logic), replacing the ban on direct transactions with identity transfer rules, and legislatively recognizing the Nazer system's records as a conclusive presumption of possession in currency exchange contracts are essential steps for aligning with transnational standards.. | ||
